Registered Address Change (ROC)

The registered office address of a company is a crucial aspect of its corporate identity, as it serves as the official communication address for all legal and regulatory correspondence. Any change in the registered office must be reported to the Registrar of Companies (ROC) in compliance. The process and required filings depend on the nature of the address change—whether it is within the same city, within the same state but under a different ROC, or to a different state.

If the company is shifting its registered office within the same city or jurisdiction of the same ROC, it must pass a board resolution and file Form INC-22 with supporting documents, such as the latest utility bill and a No Objection Certificate (NOC) from the property owner. This is the simplest type of address change and does not require additional approvals.

For a change of address within the same state but under a different ROC jurisdiction, the company must pass a special resolution in a general meeting and file Form MGT-14 along with Form INC-22. The company must also obtain approval from the regional ROC office before updating its records.

If the registered office is being shifted to another state, the process becomes more complex. It requires approval from the Central Government through the Regional Director (RD), along with public notices and newspaper advertisements to inform stakeholders. The company must file Form MGT-14, INC-23, and INC-22, and update all statutory records accordingly.

Timely compliance is essential to avoid penalties and legal issues. Consulting a professional company secretary (CS) or chartered accountant (CA) ensures a smooth transition while fulfilling all legal requirements. Proper updates in tax, banking, and government records are also necessary post-approval.
